Terms of Service

These Terms of Service apply to all business relationships between AI Setup (hereinafter "Provider") and the customer. Deviating terms of the customer are not recognized unless the Provider expressly agrees to their validity in writing.

The Provider provides services in the areas of AI automation, process optimization, and digital infrastructure. The exact scope of services results from the respective service description or individual offer.

The Provider is entitled to engage third parties for the provision of services (subcontractors).

The customer is obliged to provide all information, data, and documents required for service provision in a timely and complete manner.

The customer designates a contact person authorized to make all necessary declarations.

Remuneration is based on the respective offer. All prices are exclusive of statutory value-added tax.

Invoices are due for payment within 14 days of the invoice date without deduction.

The Provider is liable for intent and gross negligence. For simple negligence, the Provider is only liable for breach of essential contractual obligations (cardinal obligations) and only for the typical, foreseeable damage.

Liability for indirect damages, in particular lost profits, is excluded to the extent permitted by law.

Both parties undertake to keep confidential all confidential information obtained in the course of cooperation and to use it only for the agreed purposes.

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is, to the extent permitted by law, the registered office of the Provider.

Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.
